Senior Legal Counsel

    Location: Hanoi / Ho Chi Minh

    Reports to: Head of Legal (Singaporean) and Business Head of Vietnam (Vietnamese)

    Responsibilities and Duties

    • Understanding the commercial objectives, strategy, pressure points of the business, and reasonable operational knowledge to identify and assess the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
    • Control and review major investments and legal risk containment in projects such as M&A, as well as all contracting requirements for day-to-day business.
    • Liaise with business units on governance and compliance issues under the prevailing framework and standing guidelines.
    • Assess the impact of new/amended regulations on the business and present to the management appropriate steps that may be taken to counteract the impact and/or meet legal requirements.
    • Participate actively in front-line negotiations and interface with customers, business partners, suppliers, contractors, etc.
    • Understand, implement, and monitor compliance with corporate policies and principles of good corporate governance.
    • Assess transactions and agreements to identify legal risks in transactions/agreements and provide advice and recommendations to the business unit to enable them to make informed commercial decisions.
    • Acting as a liaison with external counsel, regulators, and other stakeholders to ensure the Company's legal and regulatory obligations are met.

    Basic Qualifications

    • Bachelor's Degree in Law (or equivalent) and admission as a lawyer in Vietnam/qualified to practice Vietnamese law.
    • Minimum of 8 years of relevant legal working experience. Experience working in the real estate industry and working with an international multi-national company would be an advantage
    • Native Vietnamese speaker. Excellent communication skills in English (written and spoken)
    • Good knowledge of commercial law, especially land law, the law on enterprises, and the law on investment. Knowledge and experience with cross-border transactions would be an advantage.
    • Proficiency in MS Office (Word, Excel, PPT)
    • Strong problem-solving, organizational and analytical skills
    • Possess utmost integrity and honesty, and have a flair for legal work
    • Ability to exercise creativity in taking on problems that have no precedent or clear options available
    • Willing to travel when required.
